Longtake Media Creator Agreement

Version 1.0 · Effective 23 October 2026

This agreement is between you and Longtake Entertainment LLC, a Wyoming limited liability company doing business as Longtake Media ("Longtake", "we", "us"). It covers your membership as a creator: the videos we capture, ideate and edit for your channel, your plan and payments, and the rules we both keep.

Please read the Key Terms first. They summarize the parts that matter most and match the full terms below.

KEY TERMS

  • What you get. Every day, new short videos made for your channel from games whose rights holders gave us written permission. Starter brings one video a day and Pro two. Partner is agreed with you.
  • No specific games. You pick from the games available at the time. Campaigns change, so the list changes. We guarantee the structure, number and quality of your videos, not particular titles.
  • Renewal. Your plan renews every month at the price shown when you joined, until you cancel. We email you before any price change.
  • Cancel any time. Cancel online in your account settings. Nothing more is charged, and your videos keep coming until the end of the month you paid for.
  • EU and UK consumers. You have 14 days to withdraw. If you ask us to start right away, you pay only for the videos delivered by then.
  • The videos are yours. Once a month is paid, our rights in that month's videos pass to you, and they stay yours after you cancel. The game content inside stays with the game's owner, and the music with its source.
  • Posting rules. Post each video as delivered, only on your channel, with the label it shows, and never before its embargo. These rules continue after the video becomes yours.
  • Music. Each video uses only the platform's own library or music our company owns, or no music.
  • Liability. Our total liability is the greater of $100 or what you paid us in the last 12 months, with the exceptions in Section 17.
  • Law and courts. Wyoming law. Courts in Sheridan County, Wyoming, or the federal court for Wyoming. Small claims courts stay open, and consumers in the EU and UK keep their home courts.
  • Changes. We give at least 30 days' notice of changes, which apply from your next billing period, and you can cancel before they apply.
1. Who we are and how this agreement works

1.1 Parties. Longtake Entertainment LLC, a Wyoming limited liability company (Wyoming filing ID 2026-002083627) doing business as Longtake Media, 30 N Gould St #54947, Sheridan, WY 82801, USA. Email: support@longtakemedia.com for help with your account, videos and payments; legal@longtakemedia.com for notices under this agreement; privacy@longtakemedia.com for your data; copyright@longtakemedia.com for copyright notices. Phone: +1 (307) 218-3530 (calls go to voicemail; email is the fastest way to reach us). "You" means the person, or the business you represent, who accepts this agreement.

1.2 What this agreement includes. This agreement is one document made of these terms and the Schedules at the end:

  • Schedule 1: Plans, Prices and Delivery
  • Schedule 2: Posting, Label and Embargo Rules
  • Schedule 3: Music Rules
  • Schedule 4: EU, EEA and UK Consumer Terms
  • Schedule 5: Data Processing Terms
  • Schedule 6: Partner and Editing Service Terms

It also includes our Copyright Policy, Content Rules and AI Policy, each identified by version number. Our Privacy Notice explains how we handle personal data. It is information, not part of what you agree to.

1.3 Order of precedence. If parts conflict: for a consumer in the EU, EEA or UK, Schedule 4 comes first; for Partner or editing service work, Schedule 6 and any signed Partner Order come first; then these terms; then the other Schedules; then the referenced policies.

1.4 Definitions.

  • Available Games: the games, shown in your portal with a date, whose rights holders have given us written permission to make videos, and that are open to your plan at that time.
  • Billing Period: each monthly period your plan covers.
  • Campaign Basket: the campaign games that make up the 30% share of your videos (Section 4.4).
  • Campaign Video: a video made for a studio's paid campaign. It carries a paid-promotion label.
  • Company Music: music owned by Longtake under a written assignment from its composer.
  • Consumer: an individual acting for purposes outside their trade, business, craft or profession.
  • Delivery Note: the note delivered with each video that gives its embargo, posting window, label, studio lines and Music Sheet.
  • Designated Channel: the one channel, on each platform of your plan, that you connect to your account.
  • Edited Video: a video we edit from your own raw footage under Schedule 6.
  • Embargo: the date, time and time zone before which a video must not be posted.
  • Key Video: a video of a game whose studio gave us a key and a written licence without a paid campaign. It carries an on-screen key mention.
  • Library Music: music from a platform's own library, used under that platform's terms.
  • Music Sheet: the record of the music in a video (Schedule 3).
  • Video: each finished video we deliver to you.
  • Videos Included: the number of Videos your plan includes in a Billing Period (the days in the period times your plan's daily number).
2. Who can join

2.1 Age. You must be at least 18. If we learn that a member is under 18, we end the membership, refund the current period and delete their data.

2.2 Your channel. You must own or control each Designated Channel and connect it with the Google account (or other platform account) that owns it. Each Designated Channel must be monetized, or eligible for monetization, on its platform.

2.3 One account each. Each person or business may have one account, unless we agree otherwise in writing.

2.4 Joining for someone else. If you join for a company, or as an agent or manager, you confirm that you have authority to accept this agreement for them, and "you" includes them.

2.5 Business declaration. When you join, you may confirm that you are subscribing for your channel business and not as a consumer, and give your business name, country and VAT or tax number. This box is never pre-ticked. Consumer protections required by law still apply where they apply.

2.6 Sanctions. Section 22 applies to everyone who joins.

3. Electronic dealings and notices

3.1 Electronic records. You agree that we may form this agreement, keep records, sign documents and give you notices and disclosures electronically, and that this has the same effect as paper (Wyoming Uniform Electronic Transactions Act and the federal E-SIGN Act). You may ask for a paper copy of any notice at no charge by writing to legal@longtakemedia.com. You may withdraw this consent at any time, but because the Service is delivered online, withdrawing it ends your membership. To receive our notices you need an internet connection, a current web browser, a working email address and software that opens PDF files. Keep your email address up to date in your account.

3.2 Notices to you. We send notices to the email address in your account and show them in your portal. If an email bounces, we show the notice in your portal and try any other contact you gave us.

3.3 Notices to us. Send notices to legal@longtakemedia.com. Formal legal service goes to our registered agent, Registered Agents Inc, 30 N Gould St Ste R, Sheridan, WY 82801, USA.

3.4 Your copy. After you join, we email you a confirmation with a PDF of the version of this agreement you accepted. Every version stays available in our archive.

4. The Service

4.1 What we do. We provide gameplay capture, ideation and editing services. We do not create the game or the assets a video is made from: the game's art, characters, voices, music and other content belong to its developer. When a studio sends us a game key, our team records the gameplay. That raw capture is a recording of the developer's game, not a new asset. We find the moments, angles, hooks and structure for each video, and we edit it from that capture and any material the studio provides, or, under Schedule 6, from your own raw footage. We do not deliver raw captures. You receive finished Videos.

4.2 Plans. Your plan, price and daily number of Videos are set out in Schedule 1 and shown when you pay.

4.3 Available Games. You see the Available Games, with the date of the list, before you join and again when you choose a plan. The list changes when campaigns start or end, when a rights holder ends or withdraws its permission, or when a game no longer fits our Content Rules.

4.4 Your game mix. About 70% of your Videos come from Available Games you pick, and about 30% from the Campaign Basket you choose. You can set preferences, for example leaving out games made with generative AI. Your basket follows your preferences.

4.5 What we guarantee, and what we don't. We guarantee the structure, number, format, length and editing quality of your plan's Videos, and that each Video is unique to you (Section 5). We do not guarantee any particular game, title or studio.

4.6 When ideas run out. If the Available Games you picked run out of unique ideas, we suggest other Available Games. If we still cannot deliver your Videos Included in a Billing Period, Section 11.4 applies.

4.7 Delivery. Videos are delivered in your portal with a Delivery Note. Each Delivery Note gives the embargo, the posting window for Campaign Videos, the label, any studio lines for the description and the Music Sheet.

5. One video, one channel

We capture, ideate and edit each Video for one member's Designated Channel. We never give that Video, or a cut that is substantially similar to it, to anyone else, including our own channels. "Substantially similar" means the same span of footage with the same edit structure, framing and captions. Other videos of the same game are not restricted. We keep a fingerprint record of every file so copies can be traced. If we break this promise, we give you a replacement Video and a credit.

6. Ownership and licences

6.1 Assignment on payment. When a Billing Period is paid, we assign to you all of our right, title and interest in each Video delivered in that period. This assignment takes effect automatically on payment, with no further step. What we assign is the result of our capture, ideation and editing: the recording of the gameplay (apart from the game content in it), the selection and order of moments, the cuts, framing, captions, titles and edit graphics. Nothing passes for a period that is not paid.

6.2 What stays with its owners. We do not create, own or transfer the underlying assets in a Video, and they stay with their owners:

  • the game content in the capture (art, characters, voices, performances and music in the game) and the trademarks and materials a studio provides, used under the studio's written licence;
  • your own raw footage in an Edited Video, which was yours from the start;
  • Library Music, used under the platform's terms, and Company Music, used under our licence to you in Schedule 3;
  • tracks under Creative Commons licences, which stay under those licences.

6.3 Raw captures. Raw captures are not assigned or delivered to you. They are our working material, used only for that studio's videos under its licence.

6.4 What we keep. We keep our tools, templates (including any custom template we build for you), styles, presets, earlier materials and know-how.

6.5 Your right to use the game content. Your right to use the game content inside each Video comes from the studio's written licence, which we pass on to you: worldwide, permanent for each delivered Video, on your Designated Channel and the platforms of your plan, including monetization on those platforms. We confirm that this licence exists (Section 16.1).

6.6 After you cancel. Videos from paid periods stay yours after you cancel. A delivered Video you have not posted yet can still be posted after you cancel, as long as you follow its embargo, the posting rules and, for a Campaign Video, its posting window.

6.7 The limited licence we keep. You give us a non-exclusive, permanent, worldwide licence to keep copies of each Video for our records, fingerprint ledger, proof of uniqueness, compliance checks and legal defence. You also allow us to report each Campaign Video's link and public view counts to its studio. Analytics beyond public counts need your separate consent (Section 13). We may show a Video as an example of our work only after the game's public launch, and you can opt out by email at any time.

6.8 Our team's rights. We obtain written waivers of moral rights from the people who edit for us, so the assignment is clean.

6.9 Monthly rights confirmation. Each month we email you a rights confirmation listing the IDs of the Videos assigned to you. We sign it electronically, and it is your lasting record.

6.10 No Content ID registration. Because every Video contains game content and music that belong to others, you will not register any Video or its audio in YouTube Content ID, Meta Rights Manager or any similar system. This duty continues after the assignment. We will not claim your posts either.

7. Posting rules and disclosure labels

7.1 Contract duties that continue. The Posting, Label and Embargo Rules in Schedule 2 are contract duties. They continue after a Video becomes yours, for as long as the Video is public.

7.2 Labels. Every Video shows its kind before you post it:

  • Campaign Video: "Ad – sponsored by [Studio]" on screen, the same words at the start of the description, and the platform's own paid-promotion setting (paid promotion on YouTube, branded content on TikTok, paid partnership on Instagram, the paid partnership label on X).
  • Key Video: an on-screen line that the studio provided a key, a line in the description, and the platform's disclosure setting where the platform requires one for gifts.
  • Edited Video: we add no label. You disclose any connection of your own.

7.3 Our own games. Longtake Entertainment also makes games. If one of our own games appears in your Available Games or Campaign Basket, its Videos carry the paid-promotion label and name Longtake Entertainment as the sponsor, exactly as for any studio.

7.4 Remedies. If a Video breaks these rules, we may ask you to fix or remove it within 48 hours, pause deliveries, and end your membership for serious or repeated breaches.

8. Embargoes and confidential material

8.1 Embargo. Each Video's embargo is in its Delivery Note. Files may unlock a few hours early so that you can schedule them. Posting before the embargo is a serious breach.

8.2 Confidential material. Unreleased information about a game, and any studio files you see, are confidential until the studio makes them public. You will not share them. If a studio moves its date, files stay locked until the new embargo.

8.3 Remedies. If you post before an embargo or leak confidential material, we may ask you to remove it, suspend deliveries and end your membership. You are responsible for loss caused by a deliberate early post or leak (Section 18).

9. Music

Schedule 3 sets out the music rules. In short: each Video uses only Library Music from the platform it is made for, or Company Music, or no music. You keep the music as delivered and give any credit the Music Sheet asks for.

10. Fees, billing and renewal

10.1 Price. You pay the monthly price shown when you pay. For consumers in the EU, EEA and UK it includes VAT. Elsewhere, tax is added where it applies.

10.2 Automatic renewal. Your plan has no fixed end date. It is billed monthly in advance and renews automatically every month until you cancel. There is no minimum term and no exit fee. Charges appear as "LONGTAKE MEDIA".

10.3 Extra videos. Extra videos cost $2 each, or the price shown when you order. Each order is a separate purchase that you confirm. Nothing tops up automatically. Extra videos may be billed together on your monthly invoice.

10.4 Upgrades and downgrades. An upgrade takes effect at once, with credit for the unused time of your current plan. A downgrade takes effect at your next renewal.

10.5 Price changes. We change prices only for the reasons in Section 19.1. We email you at least 30 days before a new price applies, and it applies from the next Billing Period after that notice. We ask you to accept the new price. If you don't, your plan ends at the end of the current Billing Period, and you can cancel free of charge at any time before then.

10.6 Promotions. If we offer a discount or bonus videos, we tell you the regular price, when the offer ends and what happens after it, before you accept. If an offer lasts longer than 31 days, we remind you before it ends. Bonus videos are a gift and do not change your plan.

10.7 Failed payments. If a payment fails, we tell you and retry for a short grace period, then pause deliveries until it is paid. We charge no late fee.

10.8 Taxes. Section 24.2 explains taxes.

11. Cancellation, refunds and under-delivery

11.1 Cancel any time. Use "Cancel plan" in your account settings. It takes one step after you sign in, and we confirm the cancellation on screen and by email. You can also cancel by email to support@longtakemedia.com, or through any other channel you can join through. If we offer you a reason to stay, we do it once, only with your permission, and the cancel button stays visible. Giving a reason is optional.

11.2 After you cancel. Future charges stop at once. Your Videos keep coming until the end of the Billing Period you paid for.

11.3 Refunds. Delivered Videos are not refunded, because they are yours. If you cancel before the first Video of a new Billing Period is delivered, we refund that period in full.

11.4 Under-delivery. If we deliver fewer than your Videos Included in a Billing Period, you choose a credit or a refund for each missing Video at the price of the period divided by the Videos Included. Days you paused, changed your settings or had no channel connected are not counted. Credits apply automatically to your next Billing Period.

11.5 EU, EEA and UK withdrawal. Schedule 4 gives consumers in the EU, EEA and UK a 14-day right to withdraw and a separate "Withdraw from contract here" function.

11.6 Chargebacks. Please contact us first so that we can put things right. We do not pass dispute fees on to individual creators.

11.7 If we stop the Service. If we stop offering the Service, we give you at least 30 days' notice, let you download the paid Videos you have not downloaded yet, and refund the unused part of the current Billing Period.

11.8 Statutory remedies. Nothing in this Section limits remedies that consumer law gives you and that cannot be excluded.

12. Keys and rewards

12.1 Personal use. Any game key or reward you receive is personal and only for content on your Designated Channel.

12.2 No resale. You will not sell, trade or share keys. Giveaways need the studio's written permission and must follow the platform's rules and the law on prizes and contests.

12.3 Saying no. Turning down a key or a Video never counts against you, and your own opinion stays your own.

12.4 Disclosure. Keep the key mention in Key Videos. If a studio sends you a key directly, say so in your own video too.

12.5 Unused keys. Return or destroy unused keys when asked.

12.6 Tax. Keys and in-game items may count as income where you live. That tax is yours.

13. Your channel data and privacy

13.1 Privacy Notice. Our Privacy Notice explains how we handle personal data. It lists the kinds of services that receive data, and we tell you the names of the companies that received your data if you ask.

13.2 YouTube API Services. We read your channel's data through YouTube API Services, only to confirm the channel is yours and to show results. By connecting a channel you agree to the YouTube Terms of Service (https://www.youtube.com/t/terms). Google's use of data is covered by the Google Privacy Policy (https://policies.google.com/privacy). You can remove our access at any time on the Google security settings page (https://security.google.com/settings/security/permissions), and ask us to delete what we stored. We refresh or delete stored YouTube data at least every 30 days, and delete it within 7 days of a request to delete it.

13.3 Sharing with studios. We show a studio more than the public link and view counts of its Campaign Videos only after you give separate consent for that studio. We never combine data from several creators' accounts into one figure from the API.

13.4 Processing your files. When we process your reference files or raw footage, Schedule 5 applies.

13.5 No training. We never use your files, footage or channel data to train AI models, and no service we use may do so.

13.6 No tracking pixels. We use no third-party tracking pixels on pages you see after signing in.

13.7 Security. We keep a written security program. If a breach affects your data, we notify you and the authorities as the law requires.

14. Uploads, copyright and content rules

14.1 Your uploads. You may upload reference files for your style and, under Schedule 6, raw footage. You confirm you have the rights to them. We keep them private.

14.2 Copyright Policy. Our Copyright Policy explains how to send us a notice of claimed infringement or a counter-notice. Send notices to our designated agent: Copyright Agent, Longtake Entertainment LLC, 30 N Gould St #54947, Sheridan, WY 82801, USA; copyright@longtakemedia.com; +1 (307) 218-3530. We end the accounts of repeat infringers.

14.3 Content Rules. Our Content Rules explain what we review, how you can report content, how we tell you the reason for a decision and how you can appeal it.

15. AI

15.1 AI Policy. Our AI Policy sets out our commitments:

  • we never clone the voice or face of a real person;
  • any synthetic narration carries a machine-readable mark and a line in the description;
  • a person reviews every Video before delivery;
  • we never train AI models on studios' or creators' games, footage or files, and no service we use may do so.

15.2 AI notes on games. Each Available Game shows our AI note, which we write after reviewing the studio's private answer about generative AI. We never show the studio's answer itself.

15.3 Your part. You keep any AI mark or label we add, and you turn on a platform's AI disclosure setting when we tell you to.

16. Promises and disclaimers

16.1 Our promises. We promise that:

  • we capture, ideate and edit with reasonable care and skill, to the standard of your plan;
  • each Video is unique to you (Section 5);
  • each Video carries the labels it needs;
  • each Video is of a game whose rights holder gave written permission, and that permission covers your posting and monetization on your plan's platforms (this promise does not apply to Edited Videos, which come from your own footage, and it is not a promise about the game content itself, which the studio provides);
  • the music is as described in the Music Sheet.

16.2 Your promises. You promise that:

  • you own or control your channels and have authority to accept this agreement;
  • you follow each platform's rules;
  • you never buy views, followers, likes or other fake engagement;
  • the information you give us is true;
  • for Edited Videos, you own or have sufficient rights to your raw footage, and your use of it follows the publisher's content policy and the game's licence.

16.3 Disclaimers. Except for the promises above, and to the extent the law allows:

  • The Service and the Videos are provided "as is."
  • We do not promise any views, income, monetization approval or algorithm result, or any platform decision (claims, strikes, demonetization or removal).
  • We disclaim implied warranties, including merchantability, fitness for a particular purpose, non-infringement and accuracy of data.
  • We make no income claims.

For consumers in the EU, EEA and UK, the statutory conformity remedies remain, and Schedule 4 lists the specific features you accept (for example that no particular game is promised).

17. Limitation of liability

17.1 Cap. Each side's total liability under this agreement is limited to the greater of $100 or the fees you paid us in the 12 months before the claim.

17.2 Excluded losses. Neither side is liable for indirect or consequential loss, lost profits, lost views or income, or channel strikes, even if caused by negligence.

17.3 What the cap and exclusions don't cover. Section 17.1 and 17.2 do not limit:

  • willful and wanton misconduct or fraud;
  • amounts you owe us;
  • either side's indemnities;
  • a deliberate breach of an embargo or of confidentiality;
  • infringement of the other side's intellectual property.

17.4 Consumers in the EU, EEA and UK. For these consumers, we do not limit liability for death or personal injury caused by negligence, for fraud, intent or gross negligence, or for statutory remedies, and our cap is never less than what you paid.

17.5 Time to bring claims. We do not shorten the time the law gives you to bring a claim.

18. Indemnities

18.1 Yours. You will defend and indemnify us, and our affiliates, against third-party claims that arise from:

  • your breach of the posting, label, embargo or key rules;
  • changes you make to a Video;
  • your own content and posts;
  • your channel's conduct;
  • raw footage you provide under Schedule 6.

18.2 Ours. We will defend and indemnify you against third-party claims that our own creative contribution (our editing, graphics and Company Music) infringes their rights. Our liability under this Section is limited to twice the cap in Section 17.1. It does not cover decisions by publishers or platforms, or changes you make.

18.3 How claims work. The side asking for protection gives prompt notice. The side providing it controls the defence and may not settle in a way that binds the other side without its consent. Neither side indemnifies the other for the other's own negligence unless this agreement says so expressly.

18.4 Consumers in the EU, EEA and UK. For these consumers, your indemnity covers only losses caused by your breach or fault.

19. Changes to this agreement and the Service

19.1 Reasons. We change this agreement or our prices only for these reasons:

  • changes in the law;
  • security;
  • changes on the platforms;
  • new features;
  • for prices, changes in our costs or in taxes.

19.2 Notice. We give at least 30 days' notice by email and in your portal. We give shorter notice only when the law or security requires it, or when a change is only in your favour.

19.3 When changes apply, and your right to cancel. Changes apply from the first Billing Period after the notice ends. You can cancel before then at no further charge. If an unfavourable change affects a period you have already paid for, we refund that period pro rata.

19.4 Accepting important changes. For important changes, we ask you to accept them on your next sign-in, with a box to tick and an "Agree and continue" button.

19.5 Dispute terms. A change to Section 23 applies only to disputes that arise after it takes effect, never to a claim already filed or notified. You can reject it by email within 30 days, and the earlier version then keeps applying to you.

19.6 Changes to the Service. We change the Service only for a valid reason and at no extra cost. If a change affects you more than slightly, we tell you in a lasting form and you may end your plan free of charge within 30 days.

19.7 Archive. Every version of this agreement stays available in our archive.

20. Suspension and termination

20.1 You. You may cancel at any time (Section 11).

20.2 Us. We may suspend or end your membership:

  • at once, for a serious breach: an embargo leak, removing a label, fraud, a sanctions issue, illegal content or repeated copyright infringement;
  • for a breach you can fix, after written notice and 30 days to fix it;
  • for non-payment, with deliveries paused after 48 hours' notice.

We tell you the reason and how to appeal.

20.3 Refund if it isn't your fault. If we end your membership without a breach by you, we refund the prepaid, unused time.

20.4 Good faith. We use these rights in good faith and on objective grounds.

20.5 What survives. These terms continue after the membership ends:

  • ownership of Videos from paid periods;
  • the posting duties for posted Videos;
  • the music duties;
  • confidentiality;
  • the indemnities;
  • the limits of liability;
  • the dispute terms.
21. Partner plan and editing service

Partner terms are agreed with you in a Partner Order. Schedule 6 sets out the Partner terms and the editing service, where you send your own raw footage and we ideate and edit it for you.

22. Sanctions and export controls

You represent that you (and, for an entity, your owners and controllers) are not located in, organized in or ordinarily resident in any territory subject to comprehensive U.S. sanctions (currently Cuba, Iran, North Korea, and the Crimea, so-called Donetsk People's Republic and Luhansk People's Republic regions of Ukraine) or any other territory we list as restricted, including Syria, Russia and Belarus. You also represent that you are not identified on, or owned 50% or more or controlled by persons identified on, the U.S. Specially Designated Nationals and Blocked Persons List or other U.S., UN, EU or UK restricted-party lists. You will not use the Service or any Video for, or for the benefit of, any such person or territory. We may screen you and your payments, block access from restricted territories, and suspend or end the Service at once and without liability if we believe this Section is breached or that continuing would break the law. We do not give refunds where payment to or from you is prohibited. You will comply with U.S. sanctions (31 C.F.R. Chapter V) and export control laws (15 C.F.R. Parts 730–774).

23. Disputes, governing law and courts

23.1 Governing law. Wyoming law governs this agreement, without its conflict-of-laws rules. If you are a consumer, you also keep the protection of any mandatory laws of the country where you live.

23.2 Talk to us first. Before starting a claim, send us written notice to legal@longtakemedia.com describing it. We will try in good faith to resolve it within 60 days, and time limits for the claim pause during that period. If your claim is under the Wyoming Consumer Protection Act, we will also follow its written notice and 15-day cure-offer process.

23.3 Courts. Claims go to the state courts located in Sheridan County, Wyoming, including the Wyoming Chancery Court where it has jurisdiction, or to the United States District Court for the District of Wyoming. Either side may bring a claim within small-claims limits in a Wyoming circuit court or in the small-claims court where you live. If you are a consumer in the EU, EEA or UK, you may also bring claims in, and may only be sued in, the courts where you live.

23.4 Waivers (U.S. residents). To the extent the law allows, claims are brought individually and not as a plaintiff or class member in a class or representative action, and both sides waive a jury trial. These waivers do not apply to consumers in the EU, EEA or UK.

23.5 Costs. Each side pays its own legal costs unless the law says otherwise.

23.6 Scope. This Section governs disputes under this agreement and every document it includes. Our affiliates may rely on it.

24. General

24.1 Assignment. We may assign this agreement to an affiliate or to a successor that continues the Service, with notice to you. You may assign it only with our written consent. If you sell a channel, the buyer signs up separately, and Videos already posted stay where they are. We may always assign our rights to payment.

24.2 Taxes.

  • U.S. prices do not include sales tax. It is added where it applies.
  • EU, EEA and UK consumers: we treat the Service as an electronically supplied service. Prices for these consumers include the VAT of the country where they live.
  • VAT-registered businesses: if you give a valid VAT number, the reverse charge applies.
  • Your information: give us your correct location, business status and VAT or tax number. We may rely on it, and you are responsible for loss caused by wrong information.
  • Income tax on your channel income is yours. For Partner payments, see Schedule 6.

24.3 Publicity. We may list your channel's name and logo among our members unless you opt out by email. Case studies with figures need your prior approval.

24.4 Independent parties. We are independent contractors. Nothing in this agreement creates a partnership, employment or agency.

24.5 Force majeure. Neither side is responsible for delays caused by events beyond its reasonable control. These include outages of, or changes to the policies of, platforms we depend on.

24.6 Other terms.

  • Severability: if a court finds part of this agreement unenforceable, the rest stays in force.
  • Entire agreement: this agreement, with its Schedules and the referenced policies, is our whole agreement about the Service.
  • No waiver: not enforcing a right is not giving it up.
  • Language: this agreement is in English.
Schedule 1: Plans, Prices and Delivery

Starter$29 a month1 a daySix ready-made templates, one platform of your choice, title, description, hashtags and a time to post
Pro$59 a month2 a dayEverything in Starter, a custom template built from a video you send, a version for each platform you post on, first pick of launch-day campaigns
PartnerAgreed with youAgreed with youYour own video ideas, your rate and terms, on-camera work with studios, a direct line to our team (Schedule 6)
Extra videos$2 eachOn requestAny plan. Each order is confirmed separately
  • Game mix: about 70% from Available Games you pick and about 30% from your Campaign Basket (Section 4.4).
  • Available Games: shown in your portal with a date. No particular title is promised (Section 4.5).
  • Delivery: in your portal, with a Delivery Note for each Video (Section 4.7).
  • Prices: EU, EEA and UK consumers see prices with VAT. Elsewhere, tax is added where it applies.
Schedule 2: Posting, Label and Embargo Rules
  1. Post each Video as delivered, only on your Designated Channel and the platforms of your plan.
    • You may change the title and make any cut or trim a platform requires.
    • You may not change the music, the label or the studio's lines.
    • Don't repost a Video on another channel or send the file to anyone.
  2. Post your Campaign Videos too.
    • Post each one within the posting window in its Delivery Note.
    • Keep it public for at least 90 days.
  3. Post each Video with the label it shows (Section 7.2), and keep the label for as long as the Video is public.
  4. Keep the studio's store link and lines in the description.
  5. Never post before the embargo (Section 8).
  6. Keep the key mention in Key Videos. If a studio sends you a key yourself, say so inside your own video too.
  7. Paste the link after posting, so that the studio can see where its video went and we can check labels and embargoes.

Also:

  • Make a first-person claim such as "I played this" only if it is true.
  • Never present a Campaign Video as an independent review.
  • Follow each platform's branded content and monetization rules, set your audience as "not made for kids" where it applies, and never buy fake engagement.
  • TikTok: a Campaign Video goes on TikTok only when its studio has invited you through TikTok One and the platform allows the content.
Schedule 3: Music Rules
  1. Sources.
    • (a) Library Music. For the YouTube version of a Video: only music from the YouTube Audio Library in YouTube Studio, downloaded with an account Longtake owns.
    • (b) Company Music. Music Longtake owns under a written assignment from its composer.
    • (c) Otherwise, no music.
  2. Other platforms. We deliver the TikTok, Instagram and X versions without music or with Company Music. You may add music inside a platform's app from that platform's own library, under its terms. For branded content on TikTok, that means TikTok's Commercial Music Library. Music added this way is your responsibility.
  3. Music Sheet. Each Video comes with a Music Sheet: the track and artist, its source, the licence type (standard, or Creative Commons with its version), the download date, the credit text (full and short) and the platforms it covers.
  4. Credits.
    • Where the Music Sheet asks for a credit, put it in the YouTube description exactly as given when you post. Use the short credit or the link on other platforms.
    • Keep the credit for as long as the Video is public, and fix it promptly when we ask.
  5. Not allowed.
    • Separating, reusing or distributing the music on its own.
    • Paid boosts, ads, whitelisting or partnership ads without our written approval or a Company Music version.
  6. No Content ID. Don't register a Video or its audio in Content ID or any similar system (Section 6.10).
  7. Claims.
    • Tell us within 48 hours of any claim, muting or removal.
    • Dispute a YouTube claim within 5 days using the evidence we provide. Disputing within that time keeps the revenue from the first day of the claim.
    • We provide replacement audio or a new cut, and you may use "Replace song" in YouTube Studio.
    • For a confirmed wrong claim, we credit you one replacement Video.
  8. Our promise.
    • We promise only that the music is Library Music or Company Music, obtained and used under the library's terms at the time of download, and that the Music Sheet is accurate.
    • We do not promise that no claim will ever be made, or that a platform will not change its terms.
  9. Remedy. For a music problem, your remedy is replacement audio, a new delivery or a specific credit, within the cap in Section 17.
  10. Continuing duties. These duties continue for as long as the Video is public.

Company Music licence. Where a Video uses Company Music, we give you a non-exclusive, permanent licence to use that music in that Video, as delivered, on the platforms of your plan.

Schedule 4: EU, EEA and UK Consumer Terms

This Schedule applies if you are a consumer living in the EU, the EEA or the UK. It takes precedence over the rest of this agreement.

  1. Your plan. Your plan is a subscription with no fixed end date, billed monthly. The price you see includes VAT.
  2. Your right to withdraw.
    • You may withdraw from this agreement within 14 days of the day you join, without giving a reason.
    • Each monthly renewal does not start a new 14-day period.
    • Each order of extra videos is a separate contract with its own right to withdraw, unless you agree to immediate delivery and accept that you lose that right once the videos are delivered.
  3. Starting early.
    • When you join, you can tick a box asking us to start delivering Videos before the 14 days end. The box is not pre-ticked.
    • If you don't tick it, deliveries start on day 15.
    • If you tick it and later withdraw, you pay only for the Videos delivered up to your withdrawal: the period price divided by the Videos Included, times the Videos delivered.
  4. How to withdraw.
    • Use "Withdraw from contract here" in your portal or in the footer of our site. Enter your name, the contract and your email, then press "Confirm withdrawal".
    • We send you a confirmation on a durable medium straight away, with the content of your withdrawal and the date and time.
    • You may also send the model form below, or any clear statement, to support@longtakemedia.com.
  5. Refunds. We refund what you are owed within 14 days of your withdrawal, using the payment method you used.
  6. Features you accept. By ticking the separate box at checkout, you accept these features of the Service:
    • no particular game or title is promised;
    • the list of Available Games changes with campaigns;
    • captions may contain occasional minor errors that we fix on request.
  7. Your statutory rights. Your statutory rights for digital content and digital services remain. They include the right to have the Service brought into conformity, a price reduction, or ending the contract.
  8. Courts. You may bring claims in the courts where you live, and we may only sue you there. Arbitration does not apply to you.
  9. Local requirements. Where your country requires a specific cancellation or withdrawal button or wording, we provide it.

Model withdrawal form. Complete and return this form only if you wish to withdraw from the contract.

Schedule 5: Data Processing Terms

These terms apply when we process personal data in files you give us: reference videos, raw footage for the editing service and similar files. For that data you are the controller and we are your processor.

  1. Instructions.
    • We process the data only on your documented instructions, which are this agreement and your orders.
    • We tell you if we believe an instruction breaks data protection law.
  2. Confidentiality. Everyone who processes the data is bound by confidentiality.
  3. Security. We take appropriate technical and organizational security measures.
  4. Sub-processors.
    • You give general authorization for sub-processors.
    • The list is in your portal. It is confidential unless data protection law requires disclosure.
    • We tell you before adding or replacing a sub-processor, and you may object.
    • Every sub-processor is bound by the same duties, including the ban on training AI models on your data.
  5. Your requests. We help you answer data subject requests and meet your security, breach and impact-assessment duties.
  6. Breaches. We notify you of a personal data breach without undue delay.
  7. Deletion. We delete or return the data when the service it was given for ends, unless the law requires us to keep it.
  8. Information and audits. We make available the information needed to show compliance and allow reasonable audits.
  9. Transfers.
    • Where data leaves the EU, EEA or UK, the EU Standard Contractual Clauses (Module 2) apply.
    • For the UK, the UK Addendum or IDTA applies.
Schedule 6: Partner and Editing Service Terms

A. Partner.

  1. Partner Order.
    • Partner terms (your own video ideas, the form of our work together, your rate and the term) are agreed in a Partner Order that we both sign electronically.
    • A Partner Order may replace the parts of this agreement it names.
    • A Partner Order renews only if we both agree, and has no exit fee unless it says so clearly.
  2. Paid on-camera work.
    • When we pay you for on-camera work for studios, the Partner Order sets the fixed payment date (for example 30 days after the campaign is accepted), the objective acceptance criteria, the payment method and the currency.
    • The Partner Order also sets your service fee separately from any licence fee for your image or footage, the period paid content must stay up (for example 90 days) and the scope of the licence to your image and voice.
    • We make no discretionary deductions.
  3. Tax forms.
    • We need your tax form (Form W-9, or W-8BEN for individuals outside the U.S.) before the first payment.
    • We withhold tax only where the law requires it.
  4. Status. You are an independent contractor.

B. Editing service. The editing service is open to Partners and to long-form creators.

  1. What we do.
    • You send your own raw gameplay footage, and we ideate and edit it for you.
    • The footage is yours from the start and stays yours. The result of our editing passes to you on payment (Section 6.1), so the finished Edited Video is wholly yours.
  2. Your footage.
    • You confirm that you recorded the footage yourself, that it contains no unreleased, leaked or data-mined content, and that your use follows the publisher's content policy and the game's licence.
    • You add any notice the publisher's policy requires.
  3. Games we exclude. Games from publishers whose policies cover only individuals, or forbid commercial services, are outside the paid editing service until the publisher gives written permission. This currently includes Nintendo and Microsoft games.
  4. Labels. We add no label. You disclose any connection of your own. If we run a campaign for the same game, we keep the two apart.
  5. Processing and hosting. Schedule 5 applies to your footage, and our Copyright Policy applies to uploads.
  6. Reused content. For long videos, the platform's reused-content rules apply: your own original footage plus our editing.
  7. Deletion. We delete your raw footage within 30 days after delivering the Edited Video, unless you ask us to keep it for further edits.

Longtake Media Studio Agreement

Version 1.0 · Effective 23 October 2026

This master agreement is between your company ("you", "the Studio") and Longtake Entertainment LLC, a Wyoming limited liability company doing business as Longtake Media ("Longtake", "we", "us"). You accept it once, when you register your business. Each campaign is then bought with its own Campaign Order under it.

We make games too, so we know what a launch needs. Longtake Entertainment builds its own games in a separate game unit. Longtake Media, our video unit, provides the services under this agreement. The two units are kept apart (Section 16).

KEY TERMS

  • Business only. This agreement is for businesses that hold the rights to a game, or agencies authorized in writing by them.
  • Ask us anything first. Before you accept this agreement or any order, you may ask in writing how we will work on your game, and we answer in writing before you pay (Section 4).
  • What we do. With the key you send, our team records your gameplay. We then ideate and edit unique short videos from that capture and your material, and post them across our network of channels with paid-promotion labels. We do not create your game's assets. They stay yours.
  • Pay after approval. A campaign is booked only when we approve your brief in writing and payment arrives.
  • Draft approval. On Silver, Gold and Platinum, each draft is approved automatically 72 hours after we send it, or when the review closes 3 days before launch, whichever comes first, unless you approve it, ask for a change or turn it down. You can choose in your order not to use automatic approval.
  • Refunds. A draft you turn down for a permitted reason after two revision rounds is not posted, and its unit value is refunded. Once a draft is approved, it is accepted. If your game supports fewer unique videos than you paid for, we refund the difference.
  • Ownership. You never own campaign videos. Gold trailers become yours once paid. Your game content and materials always stay yours.
  • No training. We never use your game, footage, captures, materials or data to train AI, to teach anything or to build games, and no service we use may do so.
  • Your units stay separate. Your builds, keys and data stay with our video unit and never reach our game unit.
  • No guaranteed views. We guarantee unique videos and our work, not views or sales.
  • Liability. Generally capped at what you paid for the campaign, with a higher cap for confidentiality breaches.
  • Law and disputes. Wyoming law. Arbitration seated in Sheridan, Wyoming (AAA or ICDR). Small claims and urgent court orders are excluded.
1. Parties, structure and definitions

1.1 Parties. Longtake Entertainment LLC, a Wyoming limited liability company (Wyoming filing ID 2026-002083627) doing business as Longtake Media, 30 N Gould St #54947, Sheridan, WY 82801, USA. Email: studios@longtakemedia.com for campaigns, orders, invoices and questions before you sign; legal@longtakemedia.com for notices under this agreement; privacy@longtakemedia.com for data protection. Phone: +1 (307) 218-3530 (calls go to voicemail; email is the fastest way to reach us). The Studio is the company named in your account, with its legal name, country and registration or VAT number.

1.2 Documents. This agreement consists of:

  • these Master Terms;
  • each Campaign Order, and each Key and Licence Order;
  • the Process Statement attached to an order (Section 4);
  • Schedule 1 (Data Processing Addendum);
  • Schedule 2 (Gold Trailer Assignment);
  • any signed Platinum Addendum.

1.3 Order of precedence.

  • An order prevails only for its own details: tier, counts, dates, platforms and options.
  • A Platinum Addendum replaces only the terms it names.
  • Otherwise these Master Terms govern.
  • Terms in your purchase orders, vendor portals or similar documents do not apply, even if we accept or sign them.

1.4 Version. Each campaign is governed by the version of these Master Terms in force when its order is paid.

1.5 Definitions.

  • Brief: your request for a campaign, including game details, store links, dates, rules, comparisons you allow and your AI Answer.
  • AI Answer: your private answer about whether, and where, generative AI was used in your game and materials.
  • Campaign Video: a video we capture, ideate and edit for your campaign.
  • Capture or Raw Capture: our recording of gameplay of your game, made with your key.
  • Draft: a Campaign Video made available for your review in your portal.
  • Embargo: the date, time and time zone before which nothing may be posted.
  • Longtake Network: channels owned or operated by Longtake, and the channels of creators who receive Campaign Videos.
  • Materials: everything you provide, including builds, keys, footage, art, logos, music, fonts, text and data.
  • Unit Value: the tier price divided by the number of videos in the tier: $9.93 (Bronze), $19.60 (Silver) or $39.80 (Gold). For extra videos, their own price.
2. Eligibility, authority and verification

2.1 Business only. You are ordering for a business, not as a consumer. Consumer protection rules do not apply to this agreement.

2.2 Rights holders only. Only a game's rights holder may order, or an agency with a signed letter of authority from the rights holder.

2.3 Verification. We verify:

  • a work email on your domain;
  • that domain against your Steam or store page, or a DNS record or a post on your official account;
  • two-step sign-in for everyone who approves videos.

2.4 Authority. The person who accepts this agreement confirms that they are authorized to bind the Studio.

2.5 Screening. We may screen the Studio and its signers against sanctions lists when you register and before Gold and Platinum orders (Section 28.1).

3. How a campaign is booked

3.1 The Brief is a request. Submitting a Brief creates no contract.

3.2 Our review. We review your game, its store pages, website and AI Answer. We may refuse any Brief or game in good faith, without giving a reason. Typical reasons are brand safety, reputation and our published Content Rules. We take no payment before approval, so a refusal costs you nothing.

3.3 Booking. A campaign is booked when we approve your Brief in writing and your payment arrives (card through Stripe, or payment of our invoice). Our approval summarizes the order: tier, counts, price, platforms, dates, the approval option and the capture-retention option.

3.4 Start of work. Capture, ideation and editing start after payment arrives and a working key is received.

4. Transparency on request

Before you accept this agreement, and before each Campaign Order, you may ask us in writing, at studios@longtakemedia.com or with "Ask us" in your order, for any information you need about how we will work on your game. That includes who will work on it, which tools and third-party services will process your Materials, keys and Captures, and where and for how long they will be stored. We will answer in writing before you accept or pay. Our answers form a Process Statement attached to your Campaign Order.

By accepting this agreement or a Campaign Order, you confirm that you had the opportunity to ask for this information and received the answers you asked for. Our answers, and any other details of our process, are our Confidential Information under Section 16, except where data protection law or a regulator requires you to disclose them.

If we add or replace a third-party service that receives your Materials, we will tell you in writing at least 10 business days before the change. If you reasonably object and we cannot offer an alternative, you may end the unperformed part of the Campaign Order and receive a refund of the difference.

5. Your licence to us

This licence is the written permission our service depends on.

5.1 Scope. You grant us a non-exclusive, worldwide, royalty-free licence to:

  • play and record gameplay of your game with the keys you send;
  • use your game, your trademarks and logos, your store images, your trailers and your other Materials;

for capture, ideation, editing, posting on the Longtake Network and promotion of the game.

5.2 Gameplay capture. Recording gameplay is a use of your game under this licence. A Capture is a recording of your game, not a new asset, and the game content in it stays yours.

5.3 Sublicence to creators. We may sublicense these rights to creators in the Longtake Network so that they can post and monetize Campaign Videos on the platforms in your order.

5.4 Permanent for delivered videos. For every Campaign Video and Key Video delivered, the licence is permanent and irrevocable. Without this, the creators' ownership of their edits, and the videos themselves, could not remain.

5.5 Raw Captures.

  • Use. Raw Captures are our working material. We use them only for your Campaign Videos, your Key and Licence Order videos and your Gold trailers. We never use them for another customer, for independent content on our own channels or to train AI. We deliver them to no one unless your order says so. A comparison video that includes your game in another studio's campaign needs both studios' licences.
  • Later campaigns. Unless you opt out in your order, we may keep your Raw Captures for your later campaigns while this agreement is in force and for up to 12 months after your last order.
  • Deletion. We delete Raw Captures within 30 days after that period ends, or after your written request, whichever is sooner, and confirm deletion in writing. We keep only a secure archive copy where it is needed for legal defence or our records, and no longer than the claims period.
  • Confidentiality. Captures of a pre-release build are confidential and under embargo (Section 16).
  • Other players. Where a capture shows other players' names or voices, we minimize, blur or remove them.

5.6 Third-party music in your game. If your game contains licensed third-party music that you cannot license to us, for example licensed songs on an in-game radio, name it in your order. We mute or remove it in captures and edits.

5.7 Portfolio. After your game's public launch, we may show Campaign Videos as examples of our work, subject to Section 20.

5.8 Key and Licence Order. A Key and Licence Order (a key with a licence, but no paid campaign) grants this same licence for videos made from your game for creators' Available Games. You may end it for future videos on 30 days' notice. We then remove the game from Available Games. Videos already delivered remain.

5.9 Your data. At your request we give you a copy of your Materials and data. We claim no exclusive right to decide whether we are performing correctly.

6. Campaign videos: ownership and your use

6.1 You never own Campaign Videos. We capture your gameplay with your key and ideate and edit from that Capture and your Materials. The result of that work belongs to whoever runs the channel it goes to:

  • Creators' channels: it passes to the creator once the creator's month is paid.
  • Our own channels: it stays with us.

Your game content and Materials stay yours in every case, and Raw Captures stay with us under Section 5.5.

6.2 What you may do.

  • Links and embeds: you may link to and embed any Campaign Video using the platform's own features.
  • Our channels: you may repost Campaign Videos from our own channels organically on your channels for 12 months.
  • Creators' channels: you may repost a video from a creator's channel only with that creator's written consent.
  • Paid use: paid ads, boosts, whitelisting and partnership ads are a separate add-on with their own term and price. They need a version with Company Music or no music.

6.3 Music credit. A music credit must not suggest that the artist endorses your game.

6.4 Your own reposts and ads. Copyright rules and disclosure in your own reposts and ads are your responsibility.

6.5 How long videos stay up. Campaign Videos stay on our own channels for at least 12 months, with no promise after that. We remove one earlier only for a legal reason, or as a paid option.

7. Gold trailers

7.1 What we make. On Gold, we edit trailers for you from the same Raw Capture and any Materials you provide (your footage, art, music and voice). We add no third-party assets. Music should come from you, or from music in your game that you warrant. Otherwise the trailer has no music. We use Company Music only if your order says so.

7.2 The trailer is yours. On full payment, we assign to you all of our rights in the capture and editing that appear in each trailer, by the signed Gold Trailer Assignment in Schedule 2. The game content in the trailer was yours from the start. The full Raw Capture is not transferred unless your order says so.

7.3 Moral rights. We obtain written waivers of moral rights from our editors.

7.4 What we keep. We keep our tools, templates and earlier materials. With your consent, we may show the trailer as an example of our work after launch.

7.5 Delivery. We deliver final files. Project files and templates stay ours unless your order says otherwise.

7.6 Your clearances. You warrant clearance of your game and all your Materials for every use you make of the trailer: store pages, ads, festivals and the like. That includes the music, voices, performers, fonts and third-party content in them.

7.7 Timing. The first draft comes within 5 days after the Raw Capture is ready (after a working key arrives) and your Materials are received. Your order sets the number of revision rounds.

8. Campaign orders

8.1 Tiers.

  • Bronze: 15 videos, $149.
  • Silver: 25 videos, $490.
  • Gold: 50 videos, $1,990.
  • Platinum: under a Platinum Addendum.

8.2 Extra videos. $10 (Bronze), $20 (Silver) or $40 (Gold) each, in blocks of 10 or 25, up to our estimate of how many unique videos your game can carry.

8.3 Platforms.

  • Choices: YouTube, Instagram, X and TikTok, as your tier allows.
  • TikTok: a campaign goes on TikTok only if you are approved for, and invite creators through, TikTok One, and the platform allows the content. Otherwise TikTok is excluded.

8.4 Order details. Each order sets:

  • your release date;
  • the Embargo date, time and time zone;
  • the key deadline;
  • your store link and the lines you need (Silver: store link; Gold and Platinum: store link and your lines);
  • the comparison areas and games you allow;
  • the approval option (Section 10.1);
  • the capture-retention option (Section 5.5);
  • any third-party music to mute (Section 5.6);
  • any paid-use add-on;
  • a reference to your AI Answer;
  • for Gold, the trailer and the dates for its key and Materials.

8.5 No automatic renewal. Orders are one-off. They never renew or top up automatically.

9. Delivery and lead times

9.1 Lead times.

  • Silver: a working key at least 1 week before launch for launch-day videos.
  • Gold: at least 10 days before launch.
  • Bronze: videos within 7 days of the key, with no fixed launch-day time.
  • Extra videos: one more day for every 25.
  • A campaign after launch: first videos within 7 days of the key.
  • Gold trailers: as in Section 7.7.

9.2 Late keys. If the key arrives later than the lead time, we make as many videos as we can before launch, with no promised number for launch day. The full pack is ready within the same lead time, counted from the day the key arrives and the game runs properly.

9.3 What counts as delivered. A video is delivered when:

  • Silver, Gold and Platinum: its Draft or final version is available in your portal, or it is posted under Section 10;
  • Bronze: we review each video ourselves and post it without a studio review.

9.4 Late or faulty Materials. If keys, builds or Materials arrive late or do not work, dates move and we are not in breach. A replacement key moves the dates.

9.5 Date changes. If you move your date, the schedule moves with it, and files stay locked until the new Embargo.

9.6 Pack expiry. If you do not provide a working key or Materials within 12 months of booking, the order expires. Its unused value becomes a credit toward a later campaign, valid for 12 months.

10. Draft approval (Silver, Gold and Platinum)

10.1 Automatic approval.

  • The rule: each Draft is approved automatically 72 hours after we post it in your portal and email your named approvers, or when the review closes 3 days before launch, whichever comes first, unless you approve it, ask for a change or turn it down first.
  • Opting out: you may opt out of automatic approval in your order. If you opt out, Drafts you have not approved by the time the review closes miss launch day. They are posted once you approve them, and the pack still counts as delivered.

10.2 Approvers. Only the approvers named in your account, signed in with two-step verification, can approve, ask for changes or turn down Drafts.

10.3 Permitted reasons. You may ask for a change, or turn a Draft down, only for these reasons:

  • facts about the game are wrong;
  • the Draft breaks the Embargo or confidentiality;
  • legal compliance, including advertising and disclosure law;
  • the game or brand is named incorrectly;
  • Materials are used outside the licence.

Taste alone is not a permitted reason.

10.4 Revisions. Each Draft includes up to two revision rounds. Each revised version comes back within 48 hours. Further rounds only by agreement.

10.5 Turned down.

  • For a permitted reason: if you turn a Draft down after the two rounds, we replace it with a new video built on a different idea if time allows. Otherwise we remove it from the pack and refund its Unit Value.
  • Without a permitted reason: the video is not posted, but it counts as delivered.

10.6 Approval is acceptance. An approved Draft, whether approved by you or automatically, is accepted, and no refund applies to it afterwards.

10.7 Labels. You cannot ask us to remove, shrink or delay a disclosure label.

10.8 Bronze. Bronze has no studio review. We review every video ourselves.

11. Fees, payment, taxes and withholding

11.1 Payment.

  • You pay only after we approve your Brief.
  • Card: charged through Stripe on approval.
  • Invoice: due before key work starts. Your campaign is booked once it is paid.
  • Platinum: may have payment terms of up to 30 days, as its Addendum states.

11.2 Prices and taxes.

  • Prices: in U.S. dollars, excluding taxes.
  • VAT: give us your VAT number, and the reverse charge applies where it should. We may treat a number that cannot be validated as no number.
  • Japan: studios in Japan confirm business use.

11.3 No set-off. You pay without set-off or counterclaim.

11.4 Withholding. You pay without any deduction. If the law requires you to withhold tax, you pay the extra amount needed so that we receive the full amount we would have received without it. You also send us the official receipt within 30 days. We provide reasonable forms, and a certificate of residence where one is available to us.

11.5 Bank charges. Bank and transfer charges are yours. For Gold and Platinum, we prefer ACH or bank transfer.

11.6 Invoice disputes. Dispute an invoice within 30 days of receiving it. Otherwise it is final.

11.7 Chargebacks. Contact us first and give us 15 days to resolve the issue. A chargeback after delivery is a breach, and you pay its fees.

11.8 Late payment. Late invoices bear interest at 1% per month, or the highest rate the law allows if that is lower. Statutory late-payment rights in your country also apply where the law requires. We may pause work until payment arrives.

12. Refunds and credits

12.1 Refund of the difference.

  • We try to tell you how many unique videos your game can carry when we review your Brief, so that you can choose a smaller tier before paying.
  • If we find out later, we refund the difference at Unit Value within 30 days, to your original payment method, or as a credit if you prefer.

12.2 Turned-down Drafts. A Draft turned down under Section 10.5 is refunded at its Unit Value.

12.3 After approval. Approved Drafts are accepted (Section 10.6). Delivered units are never refunded, except as this Section says.

12.4 Bronze. There is no satisfaction refund on Bronze. Objective failures are remedied: the difference under Section 12.1, and a replacement for any video that breaks the rules in your Brief.

12.5 Videos that aren't posted. If an approved video is not posted on a channel, we post it on another channel in the Longtake Network or refund its Unit Value.

12.6 Cancellation before work starts. You may cancel an order before your key and Materials arrive and work starts. We then refund it, less any non-refundable costs already incurred. After the key arrives, you may cancel only for our breach.

12.7 Sole remedies. The remedies in this Section and Section 22.3 are your sole remedies for a shortfall.

13. Disclosure and advertising compliance

13.1 Roles.

  • You: the advertiser.
  • We: an intermediary, and on our own channels also the publisher and endorser.
  • Creators: endorsers.

13.2 Labels. We apply the labels:

  • Campaign Videos: "Ad – sponsored by [Studio]" on screen and in the description, plus the platform's paid-promotion setting.
  • Key Videos: an on-screen key mention and the platform's disclosure setting where the platform requires one.

13.3 Your duties.

  • You will not ask anyone to remove, hide or delay a label.
  • You are responsible for disclosure in your own reposts, ads and whitelisting.
  • You substantiate every product claim you ask us to make.

13.4 Positive by design.

  • We never mock or criticize your game.
  • Comparisons are positive or neutral, limited to the areas and games you allow, and you confirm comparison claims.
  • Campaign Videos are labelled promotional content made for you, never presented as independent reviews.

13.5 First-person claims. First-person claims are made only where they are true. We never buy fake engagement.

13.6 Our own channels. Our own channels show Campaign Videos as labelled ads and never imply independence.

14. No-training covenant and your AI Answer

14.1 No training. We will not use your game, footage, Raw Captures, Materials or data to train, fine-tune or improve any AI model, to teach anything else, or to build games. We will not allow anyone else to do so. This covers our own models and every third-party service we use. Every tool or service that handles your Materials either runs on our own machines or works under terms that forbid training on them.

14.2 Your AI Answer. You give a private AI Answer, warrant that it is complete and true, and tell us if it changes. We review it and use it only to decide:

  • whether to accept the campaign;
  • what to tell creators and viewers (our AI note on the game);
  • which platform labels or store rules apply.

The AI Answer itself stays confidential.

14.3 Our AI Policy. We never clone a real person. A person reviews every output. Any synthetic narration is marked. Labelling decisions under the EU AI Act are ours.

15. No performance guarantee; reports and data

15.1 No guarantee. We do not guarantee views, reach, sales or wishlists. Platform algorithms, creators' channel performance and platform reviews are outside our control. What we guarantee is unique videos and the refund of the difference.

15.2 Reports. Reports give the posted links, posting dates and view counts on set days (for example day 7 and day 30), from the platforms' public counters or APIs, as provided by the platforms.

15.3 Channel data.

  • Our own channels: full analytics may be included, because that data is ours.
  • Creators' channels: analytics beyond public counts only with that creator's consent.
  • Combined figures: we never combine several creators' accounts into one figure from the API.

15.4 Store links. Tracked store links are counted in aggregate, without cookies, with shortened IP addresses.

15.5 Aggregate data. We may use aggregated, anonymous data for benchmarks. For your staff's contact data, we are an independent controller.

16. Separate units, confidentiality, non-use and embargo

16.1 Separate units. Longtake Entertainment LLC makes games, so we know what developers need. We build our own games in a separate game unit. Longtake Media, our video unit, provides the services under this agreement. The two units are separate: different people, separate systems and separate access. Your builds, keys, Materials, Brief, AI Answer, report data and other Confidential Information stay with the video unit, are used only for your videos and trailers, and never reach our game unit. If someone moves between the units, they lose access to current campaign materials and stay bound by confidentiality.

16.2 Non-use. We use your Materials and data only for your videos and trailers. We never use them to build, design or benchmark our own games, for another customer, or to train AI.

16.3 What is confidential.

  • Your information: unreleased builds, keys, roadmaps, release dates, Briefs, your AI Answer, figures, and the existence of a campaign before you announce it.
  • Our information ("Longtake Process Information"): our methods and workflow, people and roles, tools and third-party services, storage and retention practices, and every answer and Process Statement under Section 4. You use it only to evaluate and manage your work with us, and share it only with staff and advisers who need it and are bound by confidentiality, except where data protection law or a regulator requires disclosure.

16.4 Standard of care.

  • Care: at least the care each side uses for its own information, and no less than reasonable care.
  • Access: limited to people who need it and are bound in writing.
  • Unauthorized disclosure: prompt notice of any.
  • Compelled disclosure: notice beforehand where the law allows.

16.5 Duration. These duties last for 5 years after this agreement ends, and for trade secrets for as long as they remain secret.

16.6 Independent development. Neither side is prevented from developing its own products without using the other's Confidential Information. There is no "residuals" right.

16.7 Embargo.

  • Restricted access: we limit access to named staff and to creators bound in writing.
  • Nothing early: nothing is posted before the Embargo.
  • Leaks outside our control: we are not responsible for a leak we did not cause, such as a platform scheduling fault or a third party's act.

16.8 After the campaign. We return or destroy your Materials, except Raw Captures kept under Section 5.5 and a copy needed for records or legal defence.

16.9 Remedies. Injunctions are available. Damages fall under the separate higher cap in Section 24.3, and deliberate disclosure is uncapped.

17. Game keys

17.1 Use. Only our named staff use your keys, to record gameplay. Keys are never sold, traded or given away. We log who used each key, when and for which capture.

17.2 Keys for creators. If you want to give keys to creators for their own content, that is separate and under your own rules. Creators disclose it in their own videos.

17.3 Return. We return or destroy unused keys on request.

17.4 Working keys. You warrant that keys work, and are for the right platform and region. A replacement key moves the dates. We may redeem a spare key to test a reported problem.

18. Content standards and our right to refuse

18.1 Refusal. We may refuse or pause a campaign for brand safety, for example for a platform's restricted categories such as gambling, for adult content risk or for demonetization risk.

18.2 Your Materials. Your Materials must be lawful and not misleading. Contests and prizes must follow the law.

18.3 Our Content Rules. Our Content Rules are published and versioned, and they apply to your uploads.

19. Non-solicitation of creators

19.1 The rule. For 12 months after the last delivery under an order, you, your affiliates and your agencies will not engage any creator or channel in the Longtake Network who worked on your campaign for the same or similar paid content without us.

19.2 Referral fee. If you do, you pay us a referral fee of 15% of the fees for that engagement in its first 12 months. The parties agree that this is a reasonable estimate of our loss.

19.3 Creators stay free. This Section binds only you. Creators remain free to work with anyone.

20. Publicity

20.1 Customer listing. We may show your name, logo and videos as a customer only after your game's public launch, and never before an Embargo lifts. You can opt out with one email.

20.2 Case studies and press. Case studies with figures, and press releases, need your written consent.

21. Data protection

21.1 Roles.

  • Your account and staff contact data: we are an independent controller.
  • Personal data inside your Materials (performers, voices, playtesters): we are your processor, and Schedule 1 applies.

21.2 Your duties. You warrant a lawful basis and proper notices for the people in your Materials, including performers' consent.

21.3 Privacy notice. Our privacy notice lists the kinds of recipients. On request we tell you the names of the companies that received your data.

22. Promises and disclaimers

22.1 Your promises. You warrant that:

  • you hold the rights to the game, or are an agency authorized in writing;
  • you own or control all rights in the game that appear in our captures, including the music, voices and performances in it, and in all Materials you provide (your footage, art, music, fonts, middleware and third-party content), with the consent of the people in them;
  • our use and creators' use within the licence infringe no one's rights and break no law;
  • your information and product claims are true, and your AI Answer is complete and true;
  • your keys work;
  • your own uses comply with advertising, consumer and privacy law.

22.2 Our promises. We warrant only our own work:

  • capture, ideation and editing performed in a professional and workmanlike way;
  • the agreed number of unique videos;
  • disclosure labels applied;
  • music from the platform's library or Company Music, as in the Music Sheet;
  • your game content, Materials and Raw Captures used only within the licence and Section 5.5.

22.3 Remedies. For a breach of Section 22.2, our only obligation is to correct or redo the work, or refund at Unit Value.

22.4 Disclaimers.

  • We make no promise about views, reach, sales or platform decisions.
  • We disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.
  • We give no warranty about your game or Materials, which are yours.
23. Indemnities

23.1 Yours. You will defend and indemnify us against third-party claims that arise from:

  • your game and Materials, including intellectual property, in-game music, voices, performers and third-party content, and claims arising from game content in captures;
  • product claims you asked us to make;
  • your own reposts, ads and whitelisting;
  • a late or wrong Embargo instruction;
  • an inaccurate AI Answer;
  • a breach of your warranties.

23.2 Ours. We will defend and indemnify you against third-party claims that:

  • elements we supplied (Company Music, our editors' contributions) infringe their intellectual property;
  • arise from our own deliberate breach of the Embargo or of confidentiality.

These indemnities fall under the caps in Section 24.

23.3 How claims work.

  • Notice: the side seeking protection gives prompt notice.
  • Control: the side providing protection controls the defence.
  • Settlements: a settlement that binds the protected side needs its consent.
  • Own negligence: neither side indemnifies the other's own negligence unless this agreement says so expressly.
24. Limitation of liability and claims period

24.1 Cap.

  • Each campaign: each side's total liability is limited to the amount paid for that campaign.
  • Master terms and Platinum: for claims under the master terms generally, and for Platinum, the fees paid in the 12 months before the claim.

24.2 Excluded losses. Neither side is liable for indirect or consequential loss, including lost launch-day sales, profits or wishlists, even if caused by negligence.

24.3 Higher cap. For breach of Embargo or confidentiality, the cap is three times the amount paid for the campaign. Deliberate disclosure is not capped.

24.4 Uncapped.

  • Never capped: unpaid fees and your indemnities.
  • Not covered by the cap or exclusions:
    • fraud;
    • willful and wanton misconduct;
    • gross negligence and intent;
    • death or personal injury.

24.5 Claims period. To the extent the law allows, a claim must be brought within one year after it arises.

24.6 CISG. The UN Convention on Contracts for the International Sale of Goods does not apply.

25. Term, cancellation and termination

25.1 Term. This agreement runs until ended. Either side may end it on 30 days' notice while no order is in progress.

25.2 For breach.

  • Material breach: either side may terminate after giving 30 days to cure.
  • Insolvency: either side may terminate at once.

25.3 Orders. Section 12.6 covers cancelling an order.

25.4 Posted videos. Posted videos remain. They are removed only for a legal reason, or as a paid option.

25.5 Licences. The licences for delivered videos survive (Section 5.4).

25.6 Data. We return or delete your data within 30 days of a request, except as Section 5.5 and the law allow.

25.7 Survival. These sections survive:

  • payment;
  • non-solicitation;
  • intellectual property and licences;
  • confidentiality;
  • disclaimers;
  • limits of liability;
  • indemnities;
  • disputes.
26. Changes to these Master Terms

26.1 Which version applies. Each campaign stays under the version accepted when its order was paid. A new version applies only to later orders.

26.2 Notice and objection. We give 30 days' notice of changes. You may object within 30 days and stay on the earlier terms until your next order.

26.3 Dispute terms. Changes to Section 27 apply only to disputes that arise after they take effect.

27. Disputes: governing law and arbitration

27.1 Governing law. Wyoming law governs, without its conflict-of-laws rules. The CISG does not apply.

27.2 Negotiation. Before any claim, the side with the claim sends written notice, and both sides negotiate in good faith for 30 days.

27.3 Arbitration.

  • Rules: any dispute not resolved is finally settled by binding arbitration under the Federal Arbitration Act. For a Studio based in the U.S., it is administered by the American Arbitration Association under its Commercial Arbitration Rules. For any other Studio, it is administered by the International Centre for Dispute Resolution under its International Arbitration Rules.
  • Seat and procedure: the seat is Sheridan, Wyoming. The language is English, with one arbitrator, and hearings may be held online.
  • Documents only: claims below $25,000 are decided on documents unless the arbitrator asks for a hearing.
  • Enforcement: judgment on the award may be entered in any court with jurisdiction.

27.4 Exceptions. These do not have to go to arbitration:

  • Small claims: either side may bring a claim within small-claims limits in a Wyoming circuit court, or in the small-claims court where the other side is.
  • Court orders: either side may seek a temporary or permanent court order against misuse of intellectual property, breach of confidentiality or Embargo, or unauthorized key distribution. This can be in the state courts in Sheridan County, Wyoming (including the Chancery Court), the United States District Court for the District of Wyoming, or any court with jurisdiction.

27.5 Waivers. Claims are brought only individually, not as a class, collective or representative action. Both sides waive a jury trial for any claim heard in court.

27.6 Costs. Each side pays its own legal fees unless the arbitrator finds a claim or defence frivolous. The claimant pays the filing fees, and the award may reallocate them.

28. Sanctions, assignment and general terms

28.1 Sanctions. You represent that the Studio, its owners and controllers, and its signers are not located in, organized in or ordinarily resident in any territory subject to comprehensive U.S. sanctions (currently Cuba, Iran, North Korea, and the Crimea, so-called Donetsk People's Republic and Luhansk People's Republic regions of Ukraine) or any other territory we list as restricted, including Syria, Russia and Belarus. You also represent that none of them is identified on, or owned 50% or more or controlled by persons identified on, the U.S. Specially Designated Nationals and Blocked Persons List or other U.S., UN, EU or UK restricted-party lists. We may screen you and your payments, and suspend or end the Service at once and without liability if this is breached or continuing would break the law. We give no refund where payment is prohibited. You will comply with U.S. sanctions (31 C.F.R. Chapter V) and export control laws (15 C.F.R. Parts 730–774).

28.2 Assignment.

  • Us: we may assign this agreement to an affiliate or successor, with notice.
  • You: only with our consent.
  • Change of control: if control of the Studio changes, we may terminate.
  • Payment rights: we may always assign our rights to payment.

28.3 General.

  • Independent contractors: nothing creates a partnership or agency.

  • Electronic signature: electronic acceptance and signatures are valid.
  • Severability: if part is unenforceable, the rest stays in force.

  • Force majeure: neither side is responsible for events beyond its reasonable control, including platform outages and policy changes.
  • Platinum: a Platinum Addendum is signed as "Longtake Entertainment LLC, d/b/a Longtake Media, By: ______".

  10. Wyoming law. Wyoming's rules for processors in breach notification also apply.
